- Hi Serna, I reviewed you contract. I am thankful for your offer! However, I have some pushback.
- What type of type of Pushback? I'm giving your company 3 mil euros.
- Well, a couple of things. First, I don't have an issue with your equity amount, but 25% is a lot of equity for a company that doesn't need funding and is breaking even. Second, I want to discuss your motive for getting a strategic vote.
- Gloria I am investing 3 mil Euros into your company. You were adamant about pursuing an aggressive growth strategy. I have credibility, a proven track record and expertise in this space. I just want some input in the direction of your company, so I can see positive returns on my investment.
- I get that. Nonetheless, I am giving up serious equity in my company and I am weary that you may have a hidden agenda. I'm getting the sense our visions of the company don't align.
- What makes you think this? I mean any VC that invests 3mil euros in a company will demand a board seat. In addition, with the money I am giving you, you'll be able to open 10 more locations. You currently only have 12. That should hold more weight, hence a vote on strategic decisions.
- You asked for the ability to liquidate your position in 5 years in the event of a sale or IPO! I feel you're all about turning a profit rather than upholding the values and vision of the company long-term.
- Gloria I understand the hesitation. However, I am no different than many investors you will encounter. Any startup strives to obtain an IPO or reach a sale! I see nothing wrong with this scenario.
- Okay, give me a few hours to think and I'll get back to you with an answer later today.
- Sounds good, I will be eagerly awaiting your response.
